THE FINE PRINT THAT PROTECTS YOU: Operating Agreements Every Real Estate Investor Should Know

You formed your LLC. You have your property. Maybe you even have a business partner.

But what happens when things don’t go according to plan?

That’s where your Operating Agreement becomes critical.

Join us for an attorney-led discussion on one of the most important—and often overlooked—documents for real estate investors. Your Operating Agreement can establish how your company operates, define ownership and responsibilities, address how money is contributed and distributed, and provide a roadmap for handling disagreements, major decisions, or changes in ownership.

We’ll break down what real estate investors need to understand about Operating Agreements, including:

  • Why an Operating Agreement matters—even when you have an LLC
  • What should—and shouldn’t—be included in your agreement
  • Defining ownership, roles, voting rights, and decision-making
  • Capital contributions, distributions, and profits
  • What happens when a partner wants out, stops contributing, or you simply disagree
  • Buyouts, transfers, death, disability, and other “what if” scenarios
  • Common mistakes investors make when using generic or outdated agreements
  • Why relying solely on your LLC filing with Sunbiz may leave important questions unanswered

Whether you invest with partners, own multiple properties, or are building a real estate business, your Operating Agreement should be designed before you need it—not after a problem arises.

Come learn what your agreement should accomplish, what questions you should be asking, and how thoughtful planning can help protect your investment and your business relationships.

William J. Brown is the Managing Partner of TrustSphere Legal, PLLC, bringing more than 15 years of experience across real estate, asset protection, and business law. Licensed in the District of Columbia and the Commonwealth of Kentucky, William also serves as General Counsel to a national investment company — a role for which The Florida Bar has certified him as Authorized House Counsel — and represents clients throughout the Southeastern and Midwestern United States from his base in Tampa Bay, Florida.

A Kentucky native, William earned his B.A. magna cum laude from Northern Kentucky University — a double major in Theatre Arts and Political Science that still shows up in the courtroom — before completing his Juris Doctor on full academic scholarship at Salmon P. Chase College of Law, where he won a state championship with the Trial Advocacy Team. He began his career advising healthcare and small-business clients on corporate formation, contracts, and regulatory compliance across Kentucky, Ohio, and Indiana, and later taught Legal Research as an adjunct professor at his alma mater.

In 2015, William relocated to Florida as in-house counsel for a major Tampa investment firm, overseeing legal operations across real estate, medical cannabis, and emerging Web3 technologies. As co-founder of a legal-tech startup, he works at the intersection of real estate and blockchain — including a proprietary platform that sells real estate online, accepts cryptocurrency, and records transactions on-chain (patent and trademark applications pending). In 2023 he delivered a keynote at an economic symposium in Lima, Peru, and he remains active in an international coalition of attorneys focused on cross-border collaboration. Outside the practice, he has traveled to 39 countries and enjoys chess, mystery novels, and fine Kentucky bourbon — honoring his roots.

Right Room. Right People. Real Results.
